CGI To Acquire Umanis

The Canadian IT and management consulting group will acquire the French digital data and business solutions specialist.

CGI has announced an agreement to acquire Umanis, a company specializing in digital data and business solutions. The proposed transaction involves a two-phase buyout via a 70.6% controlling stake in Umanis, followed by a mandatory simplified tender offer.

The price per share of €17.15 “represents a premium of 45.96% over Umanis’ last closing price,” CGI said in its press release.

“The combination of CGI and Umanis’ activities will further strengthen our presence and positioning in Western and Southern Europe. This transaction is consistent with our Build & Buy strategy to generate profitable external growth while serving as a catalyst for future organic growth,” said George Schindler, President and CEO of CGI.

Its expertise covers big data and artificial intelligence, infrastructure and cloud services, digital experience, business solution integration and business process outsourcing (BPO).

Headquartered in Paris, it employs approximately 3,000 people in France, Luxembourg, Spain, Morocco and Switzerland.
